Primary objective of the job:

  • The Legal Officer is responsible for the provision of professional efficient and ethical legal services to the Millennium Heights Medical Complex (MHMC) in matters related but not limited to the conduct of Civil Legislation, provision of legal advice, drafting and vetting on contracts and other agreements.
  • Works under the direction of and reports to the Chief Executive Officer.
  • Required to liaise with Attorney General’s Chambers on matters related to work.
  • Required to respond whenever necessary to the Board of Directors, Chief Executive Officer on matters related to work.

 

Number of persons managed/supervised and their positions:

  • Direct reports as per approved Organizational Structure

 

Main Duties and Responsibilities:

Provide legal counsel to the MHMC which will include but not limited to:

  • Advising on the Millennium Heights Medical Complex Act.
  • Management of litigations and claims.
  • Serving as the compliance officer; providing support and guidance on indemnification of medical officers' medical indemnity.
  • Provision of support and/or advice to all departments on claims, employment disputes/issues with a focus on risk management.
  • Collaborate with the Millennium Heights Medical Complex (MHMC) Indemnity companies and their legal teams.
  • Review every issue of the Saint Lucia Gazette and bring any matter which may have an impact on the company’s operations to the attention of the relevant Division or Department Head in a timely manner.
  • Vet relevant legal agreements and contracts and liaise with opposing counsel where appropriate.
  • Maintain a record of all conveyances and legal agreements of interest to the company.
  • Provision of assistance in negotiating agreements that comply with the Company's policies.
  • Provision of advice on the legal aspects of the Company's financing, including assessing and advising on current and future business structures and legal entities.
  • Review and drafting of contracts, agreements, internal policies and ensuring compliance with all statutory or legal requirements.
  • Negotiate as part of the management team and drafting and/or reviewing contracts, agreements including vendor contracts, client and partnership agreements on behalf of MHMC.
  • Provide legal advice and guidance to internal stakeholders on contract interpretation, risk assessment, and compliance issues.
  • Research and analyze legal issues and regulations relevant to the organization's operations and industry.
  • Monitor changes in laws, regulations, and legal trends that may impact the organization and provide recommendations for compliance.
  • Develop and implement policies and procedures to ensure compliance with applicable laws and regulations.
  • Handle legal disputes and litigation matters and representing the organization in court or alternative dispute resolution proceedings.
  • Liaising with external legal counsel on litigation matters, assisting in the collection of documentary evidence, facilitating meetings with medical officers and nurses who are witnesses and the collection and signature of witness statements and affidavits from them.
  • Conduct legal due diligence reviews for strategic transactions.
  • Assist with corporate governance matters, including board meetings, resolutions, and regulatory filings.
  • Provide legal training and guidance to employees on legal issues and best practices. 
  • Prepare and maintain legal documentation, including corporate records, contracts, and regulatory filings.
  • Respond to legal inquiries and requests from internal and external stakeholders in a timely and professional manner.
  • Collaborate with cross-functional teams, including finance, human resources, operations, clinical, to address legal issues and support business initiatives.
  • Ensure that the organization's activities and operations are conducted in compliance with applicable laws, regulations, and ethical standards.
  • Perform other legal tasks and responsibilities as assigned by the Board and CEO.
  • Undertake any other relevant duties as may be required by the CEO/MHMC Board of Directors.

 

Academic qualifications and experience required for job:

  • A Bachelor’s Degree in Law and a Legal Education Certificate
  • Minimum of seven (7) years’ as an attorney-at-law
  • A current Practicing Certificate to practice as an Attorney-at-Law in Saint Lucia


Knowledge, Skills and Abilities:

  • Familiarity with Saint Lucian legislation, Labour Act and the Millennium Heights Medical
  • Complex Act.
  • Demonstrated ability to organize and work independently on multiple tasks/projects and
  • complete assignments within specified deadlines.
  • Ability to plan and organize work and prepare clear concise reports.
  • Extensive knowledge of the court procedure.
  • Extensive knowledge of legal principles, practices and proceedings.
